GrowSheet Terms of Service

These Terms of Service (the "Terms") are an agreement between you and ARDEO LABS LLC, a Florida limited liability company ("we," "us"), governing your use of GrowSheet — our apps, website, share pages, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1. The Service

GrowSheet helps wholesale nurseries count their crop, publish availability lists, take login-free buyer order requests, and record orders, invoices, and statements. It is a tool for your business; you remain responsible for your business decisions, your prices, your availability, and your obligations to your buyers.

2. Your account and team

You must be at least 18 and able to form a binding contract. Keep your credentials secure; you're responsible for activity under your account. If your plan includes team seats, you may invite members and control their roles (owner, manager, crew); you're responsible for your team members' use of the Service and for having authority to share your business data with them.

3. Plans, billing, and cancellation

• Free plan. No card required. Limits are shown in the app and on the pricing page and may include watermarked documents and monthly usage caps (such as AI-drafted counts and order accepts).
• Paid plans. Billed by subscription (monthly or annual) through Stripe on our website. Prices and inclusions are stated at checkout. Subscriptions renew automatically until canceled.
• Off-season pause. Paid plans may drop to the reduced off-season price described on the pricing page. In paused mode the Service is read-only, published availability links keep serving, and export remains available.
• Price changes. Your recurring price can change only with at least 30 days' advance notice, taking effect at your next renewal — never mid-period. Annual plans keep their rate through the end of the paid year. If you cancel and later re-subscribe, current pricing applies. Founding-cohort pricing is a discount that rolls to the list price when its term ends, as was disclosed when you joined.
• Cancellation. Cancel anytime from the billing portal; your plan stays active through the end of the paid period, then converts to the Free plan. Your data is not deleted on cancellation, and export remains available.
• Refunds. Except where required by law, payments are non-refundable; we may issue refunds or credits at our discretion — if something went wrong, email us and we'll be reasonable.
• Taxes. Prices exclude applicable taxes, which are added at checkout where required.

4. We record money — we never touch it

GrowSheet is not a payment processor, money transmitter, or party to transactions between you and your buyers. Invoices and statements record payments you tell us were made on your own rails (check, ACH, your own payment links). Your buyers pay you directly. We do not hold, transmit, collect, or guarantee any buyer payment, we take no percentage of any order, and we have no responsibility for disputes between you and your buyers.

5. Buyer order requests

Buyers submit login-free order requests against your published availability lists. A request is a request, not a completed sale: it is quarantined until you accept it, and accepting confirms availability and pricing on your side. Buyer contact details submitted with a request are revealed to you only when you accept, and you are responsible for handling that information lawfully.

6. AI features require your review

Some features use AI — for example, drafting counts, container sizes, and ready-states from photos of your crop. AI output is a suggestion, not a fact. GrowSheet does not identify or appraise your plants; the plant identity always comes from your own catalog. AI output never becomes part of your records without your review and confirmation, and you are solely responsible for verifying counts, sizes, prices, quantities, and anything else before relying on it or publishing it.

7. Your content and our license

You own your content (catalog, lots, counts, photos, buyer records, orders, invoices, and everything else you put in). You grant us a limited, non-exclusive license to host, process, transmit, and display it solely to operate, secure, and improve the Service — including sending capture photos to our AI provider on your behalf and rendering the availability, invoice, and statement pages you publish. We do not use your content to train AI models and we do not sell it. You can export everything at any time; that survives cancellation.

You are responsible for having the necessary rights to the content you upload, including your buyers' contact information.

8. Share pages and buyer communications

Availability, invoice, and statement links are unguessable but not password-protected: anyone with a link can view that page. You control what you publish and to whom you send it, and you can regenerate a link to revoke the old one. Any broadcast you send to your buyer subscribers is your communication, sent on your behalf; you are responsible for its content and for honoring unsubscribe requests, which we also process for you.

9. Acceptable use

Don't: break the law; infringe others' rights; send spam or purchased-list mail through the Service; upload malicious code; probe, overload, scrape, or reverse-engineer the Service; resell it; misrepresent AI output as ours; or use it to build a competing product. Usage limits are enforced in-product; attempting to evade them is a violation of these Terms.

10. Our IP

The Service — software, design, and branding — is ours or our licensors' and is protected by IP laws. These Terms grant you a limited, revocable, non-transferable right to use the Service for your business; no other rights are granted. Feedback you send us may be used without obligation.

11. Third-party services

The Service interoperates with third-party services (e.g., Stripe for our billing, your own payment providers, app stores, email delivery). Their terms govern your use of them; we're not responsible for third-party services.

12. Termination

You can stop using the Service or delete your account at any time. We may suspend or terminate accounts that violate these Terms, create legal exposure, or remain on a free plan with no activity for an extended period (with notice and an export window). On account deletion, content is removed per the Privacy Policy retention terms.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE. NOTHING IN THE SERVICE IS FINANCIAL, TAX, OR LEGAL ADVICE.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA; AND (B) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF $100 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DON'T ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

15. Indemnification

You will defend and hold us harmless from claims arising out of your content, your orders and buyer transactions, your violation of these Terms, or your violation of law or third-party rights.

16. Governing law and disputes

These Terms are governed by Florida law, without regard to conflicts rules. Exclusive venue for disputes is the state or federal courts located in Broward County, Florida, and each party consents to personal jurisdiction there.

17. Changes to these Terms

We may update these Terms; material changes will be announced in the app or by email at least 30 days before taking effect. Continued use after the effective date is acceptance. If you don't agree, cancel and export your data before the changes take effect.

18. Miscellany

These Terms plus the Privacy Policy are the entire agreement. If a provision is unenforceable, the rest stands. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them. No waiver is implied by inaction. Notices to you may be given in-app or to your account email; notices to us go to ARDEO LABS LLC at [email protected].
